Swiss private equity firm Capvis has acquired leather furniture maker de Sede. The target company, also based in Switzerland, was bought from Hans-Peter Fässler and Bernhard Schüler for an undisclosed sum.

The deal expands Capvis’ furniture-manufacturing portfolio and is part of the owners’ succession plans. Fässler and Schüler retain operational responsibilities as well as a minority stake in the business.

Lenz & Staehelin acted as legal adviser to Capvis with partner, head of corporate and M&A, Rudolf Tschäni leading the team, with associates Stephan Erni and Philipp Jermann.

Tschäni said: “We conducted legal due diligence, represented Capvis in the negotiations of the sale and purchase agreement vis-à-vis the sellers, and provided advice on regulatory matters, in particularly anti-trust law.”
