WYG paid £900,000 on completion with £540,000 in cash and the balance satisfied through the issue of more than 76,000 ordinary shares. Up to £500,000 is due if agreed targets are achieved in the enlarged group’s first full year of trading, which will be paid in either cash or shares at WYG’s discretion.

The deal strengthens WYG’s town planning operations in the South West while extending its environmental and transport businesses into the region. Following the completion of the deal, all of Turner Holden’s directors have joined the enlarged group.

WYG is a consultant on the built, natural and social environments providing engineering, environmental, planning, management and rail services to the public and private sectors. This deal follows WYG’s £1.2 million acquisition of Irish civil and structural engineering consultancy Malachi Cullen & Partners in January.

Turner Holden, which is based in Wellington, Somerset, provides its services mainly to the house-building sector. The firm reported a turnover of more than £647,000 in the year to March 2006, making a profit before tax of £138,000.
